Creator Content Purchase Agreement

Welcome to the Questflow website and platform (accessible at https://questflow.ai/ and any associated domains, interfaces or applications) (the “Platform”), provided and operated by QF Corporation (the “Company”, “we”, “our” or “us”). This Creator Content Purchase Agreement (this "Agreement") governs each interaction between a Creator and a Member on the Platform.

This Agreement is incorporated into and forms part of our Platform’s Terms of Use which is located at [https://docs.questflow.ai/terms-of-use] (the “Terms”). Capitalised terms in this Agreement shall have the meaning given to them in the Terms, unless the context requires otherwise.

1. Scope: This Agreement is legally binding and applies each time a purchase for any Content Access Right or Creator Interaction is initiated on the Platform. Such Creator Interactions include, without limitation:

(a) Pay-to-View: Members can pay to unlock a Creator's full Quest content, strategies, or research.

(b) Subscriptions: Members can pay a recurring subscription fee to get monthly access to a Creator's AI Clone outputs and content;

(d) Tips: Members can reward or direct one-time payments to Creators via tips;

(e) Ask the Clone: Members can pay to provide prompts or inputs, or ask questions to a Creator's AI Clone and receive personalized responses.

2. This Agreement applies to the exclusion of any other terms which the Member or Creator may propose. All disputes and issues relating to any Creator Interaction, Content Access Right or related transaction thereof will need to be resolved directly between the Member and the relevant Creator, and the Company and the Platform shall not be responsible or liable for any disputes or issues between the User and the relevant Creator (including the resolution of the same). The Company may (but is not obligated to) assist in the resolution of any disputes or issues between the Member and the relevant Creator but such assistance shall not be deemed as an assumption or recognition of responsibility by the Company.

3. Parties: The only parties to this Agreement are the Member and Creator participating in the Creator Interaction and purchasing the Content Access Right. The Company is not a Party to this Agreement or any Creator Interaction except as set forth below.

4. Pricing and payment: The Member purchasing a Content Access Right or initiating a Creator Interaction agrees to pay the applicable amount (of the Member Payment or any ad hoc payment) plus any applicable Taxes, which the Company and its Payment Processors are authorised to collect.

5. Payments: When you make any payments to a Creator, you purchase the right to, on a pay-to-view basis, access and view a Creator’s relevant Creator Content (the “Content Access Right”) for a specified and pre-determined duration (the “Access Duration”). Your right to access and view such Creator Content will cease upon the expiration of the Access Duration unless you choose to extend it by purchasing it again. Before entering into a Creator Interaction with a particular Creator, Members must connect their Digital Wallet to their account and then click the relevant confirmation button on the relevant Creator’s account. All payments shall be in the Supported Tokens only. By performing the aforementioned action, Users hereby authorise us to process the payment to facilitate and enable the Member to purchase the Content Access Right for the Access Duration (each a “Member Payment”), and to take all steps necessary to complete the transaction (including without limitation, supplying payment information details to a third-party payment provider for the purpose of processing the Member Payments).

6. Licence of Content: As part of a Creator Interaction, the Creator grants the Member a revocable, non-transferable, non-sublicensable, non-exclusive license and right to view the Creator Content solely for personal purposes, for the duration of the Access Duration (the “Creator Content Licence”).

7. Ownership of Content:

(a) The Creator Content Licence does not grant any Member ownership rights to the relevant Creator Content. The relevant Creator retains all rights, title and interests in their Creator Content.

(b) The Company retains all rights, title and interests in the Questflow Assets.

8. Expiry/Termination of licence:

(a) The Creator Content Licence terminates or expires automatically without notice:

i. if the Member Payment related to the Content Access Right or relevant Creator Interaction was unsuccessful;

ii. if the Creator deletes either the relevant Creator Content or their Creator account;

iii. when an active Access Duration ends;

iv. if the Member’s account is suspended or terminated;

v. if the Member breaches the terms of this Agreement or the Terms;

vi. if the relevant Creator Content is removed from the Creator's account or the Creator's account is suspended or terminated; or

vii. if the Member closes their account.

9. Removal of Content: The Company reserves the right to remove (a) any Creator Content from a Creator's account; and (b) any Questflow Assets, at any time. The Member participating in the Creator Interaction and purchasing any Content Access Rights acknowledges that Creators may remove Content, including pay-per-view Creator Content at any time. The Member acknowledges and agrees that any of the above actions may result in the Member being unable to continue accessing and viewing such Creator Content or the relevant Questflow Asset at any time notwithstanding any payment for the same.

10. Obligations between Creator and Member in Creator Interactions and Content Access Rights:

(a) The Member and the Creator agree to comply at all times with this Agreement and the Terms.

(b) The Creator is solely responsible for creating and publishing Creator Content.

(d) The Creator agrees to provide the relevant Creator Content once the Member has made the relevant payments.

(e) The Member acknowledges that third parties may assist Creators in operating their accounts and in Creator Interactions.

(f) The Member agrees to make the relevant payments required to access the Creator Content and/or Creator Interactions.

(g) The Member agrees not to initiate any payment dispute unless the Member disputes the Creator Interaction or Content Access Right in good faith.

(h) The Member assumes all risk of accessing the relevant Creator Content unless the Creator engages in negligence or another breach of duty.

11. No guarantees: The Member acknowledges that circumstances may prevent access to the relevant Creator Content or Questflow Asset, including if the availability of all or any part of the Platform is suspended or inaccessible.

12. Miscellaneous; Precedence. All other provisions of the Terms shall apply to this Agreement mutatis mutandis. In the event of any conflict or inconsistency between any provision of this Agreement and any provision of the Terms, the provision of this Agreement shall prevail, but only to the extent of the inconsistency or conflict.
